Kate is a Special Counsel in the Commercial team, with a practice focused on M&A, banking and finance and broader commercial transactions. She is particularly recognised for her experience with cross-border M&A and financing transactions.
With more than 20 years’ experience, Kate advises clients across the full transaction lifecycle including structuring, due diligence, negotiation and completion. She has extensive experience drafting and negotiating complex share and business sale agreements, loan and security agreements and bespoke documentation for industry-specific and franchising matters. Kate regularly works with overseas clients and international law firms on the Australian law aspects of cross-border deals.
Kate’s experience is further strengthened by an in-house secondment with a major Australian financial institution, which gives her valuable insight into the commercial and regulatory considerations and issues affecting both bank and non-bank lending in Australia.

Acting for a large debt collection and mercantile agency group, Kate looked after all aspects of their leasing, corporate and acquisition requirements. When the group undertook their high-value acquisition of an interstate competitor, Kate was responsible for carrying out the pre-acquisition due diligence, drafting and negotiating the complex purchase agreement and associated documentation which included the assignment and renegotiation of multiple leases in Queensland, New South Wales and Victoria, advising on regulatory requirements in multiple jurisdictions. The transaction had to be completed within tight timeframes and Kate went above and beyond to ensure the transaction settled on time, even though it was during the end of year shutdown period.
As a member of the legal team acting for ANZ, Kate worked on an acquisition by a private entity who were seeking a bank loan of $85 million to purchase a large commercial passenger boat/ferry business. This transaction included multi-jurisdiction securities and involvement in the complex acquisition process including documentation, finalisation and registration of the Queensland securities as well as attending completion of the business acquisition on behalf of the bank
Kate acted for an ASX listed corporation in relation to its multi-currency syndicated financing facilities with Westpac, NAB and ANZ for group funding across Australia, North America and South America. This transaction involved negotiations with multiple parties, drafting complex documents and liaising with lawyers in overseas jurisdictions. In addition to the legal skills, time and project/party management were critical in ensuring the transaction was completed on time and in a cost-effective manner given the number of advisors involved.
